Why this feed exists
Form 8-K is where material corporate news legally surfaces first: changes in control, executive departures, significant acquisitions and disposals, credit facility amendments, earnings pre-announcements. Companies file the moment disclosure obligations trigger, often outside market hours and well before coverage appears anywhere else.
The filing itself is public the second it hits EDGAR. The question is whether you see it in seconds or hear about it tomorrow.
What each alert includes
An AI headline stating what actually happened (8-K titles are famously uninformative), the filing excerpt with a link to the full document on EDGAR, and a Market read focused on materiality: is this routine housekeeping or a genuinely market-moving event, how does it compare to expectations, and does it read through to the sector or the company's counterparties.
What we filter, honestly
EDGAR receives hundreds of 8-Ks a day; most are routine housekeeping. This feed alerts only on S&P 500 filers, and only when a filing declares a market-moving item type such as material agreements, bankruptcies, acquisitions, earnings, executive departures, or Regulation FD disclosures. Bylaw amendments and annual-meeting paperwork never reach your inbox.
